    Partner Publisher Agreement

    Hvoy AI is an advertising and information display platform.

    Partners are solely responsible for their own services, advertising claims, regional availability, pricing, refunds, customer support, legal compliance, and disputes with end users. Hvoy AI may review, reject, edit, rank, label, restrict, suspend, delist, or remove partner content at its discretion.

    Partner Liability

    You are responsible for the site, service, claims, prices, availability, refunds, users, support, and compliance connected to your submission.

    Platform Control

    We may decide whether, where, how, and for how long your site or ad appears, and may modify or remove displays without separate compensation.

    No Guarantee

    Registration, listing, verification, ranking, exposure, traffic, clicks, or ad display does not create any guarantee of results, revenue, reputation, or continued placement.

    1. Scope and Acceptance

    This agreement applies when you create a partner account, submit a relay site, request verification, buy or receive advertising exposure, provide listing materials, or otherwise use partner features on Hvoy AI.

    By registering or submitting materials, you confirm that you have read, understood, and accepted this agreement and the Partner Privacy Terms. If you act for a company, website, team, or service provider, you confirm that you are authorized to bind that entity.

    2. Platform Role

    Hvoy AI provides advertising display, information organization, technical observation, ranking, comparison, referral, lead generation, and partner management functions. Hvoy AI is not the operator, reseller, payment processor, customer support provider, guarantor, broker, agent, trustee, or joint operator of any partner site unless separately agreed in writing.

    Any relationship between end users and a partner site, including registration, recharge, subscription, API use, account management, refund, invoice, data processing, service quality, and dispute handling, is solely between the end user and that partner site.

    3. Partner Representations

    • You have the right to submit and authorize Hvoy AI to display the site, brand, logo, domain, screenshots, descriptions, pricing, notices, verification information, promotional links, and other materials you provide or make publicly available.
    • Your service, advertising copy, pricing, discounts, models, routes, uptime, refund terms, data practices, and support commitments are true, clear, lawful, current, and not misleading.
    • You hold all licenses, approvals, registrations, authorizations, and legal qualifications needed to operate, advertise, and provide your services in every region where you make them available.
    • You will not impersonate an official model provider, falsely imply authorization, conceal material restrictions, manipulate detection, fake user activity, submit false evidence, or mislead Hvoy AI or users.

    4. Advertising and Display

    Listings, rankings, badges, labels, recommendations, sponsored placements, pins, tables, notices, and other appearances on Hvoy AI may be advertising or commercial display. Display position, wording, format, labels, metrics, and visibility may be affected by commercial cooperation, product judgment, risk control, editorial policy, user experience, technical data, manual review, and other factors.

    Hvoy AI may decide whether to accept, reject, pause, reorder, annotate, downgrade, hide, remove, or stop displaying any partner site or advertising material. Unless expressly agreed in a separate written contract, Hvoy AI does not guarantee exposure, traffic, clicks, conversion, revenue, ranking, duration, exclusivity, or display continuity.

    5. Regional Availability and Restricted Areas

    You are solely responsible for deciding and clearly disclosing where your services are available, restricted, or prohibited. If your service does not support a country, region, territory, user type, payment method, model, route, or use case, you must make that limitation clear to users before they register, recharge, subscribe, or rely on the service.

    Hvoy AI does not promise that any partner service is available in mainland China, Taiwan, Hong Kong, Macau, the United States, the European Union, or any other country or region. If users from any location complain, investigate, claim losses, demand refunds, or allege non-compliance because of your availability, restrictions, or disclosure, you must handle and bear responsibility for it.

    • Do not rely on Hvoy AI's display as proof that your service may lawfully serve a region.
    • Do not submit a copied third-party supported-region list unless you have independently verified that it applies to your own service.
    • If a region is not clearly supported by you, users and Hvoy AI may treat it as not guaranteed.

    6. Content License

    You grant Hvoy AI a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use, reproduce, store, adapt, translate, summarize, crop, display, distribute, promote, analyze, and create derivative display materials from your submitted or publicly available partner materials for platform operation, advertising, ranking, review, archive, compliance, dispute handling, and marketing.

    This license continues for as long as reasonably needed for records, compliance, dispute handling, historical display, security, legal protection, and platform operation, even if your active listing is removed.

    7. Verification, Scores, and Labels

    Verification, badges, scores, rankings, detection results, uptime records, price references, risk labels, and similar displays are platform-side observations or presentation tools only. They are not certifications, endorsements, warranties, audits, or promises that your service is safe, lawful, stable, profitable, or suitable for users.

    Hvoy AI may use automated checks, public information, partner submissions, manual judgment, user feedback, traffic data, and risk signals to update or remove any label, score, ranking, or listing at any time.

    8. Payments, Fees, and Commercial Cooperation

    Any paid advertising, sponsorship, pin, promotion, traffic cooperation, lead generation, commission, rebate, or commercial arrangement is subject to the specific order, confirmation, invoice, or written arrangement accepted by Hvoy AI. Unless explicitly promised in writing, fees are paid for the opportunity to display or cooperate, not for guaranteed results.

    Hvoy AI may reject, suspend, or terminate commercial cooperation if we believe a partner creates legal, payment, user, brand, security, operational, or reputational risk. Amounts already incurred, consumed, or reserved for delivered display may be non-refundable to the maximum extent permitted by law.

    9. User Disputes and Partner Indemnity

    You must independently handle all complaints, refund requests, account issues, service failures, model mismatches, data incidents, payment disputes, regulatory inquiries, intellectual-property claims, and user losses arising from your service, materials, or conduct.

    To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless Hvoy AI, its operators, affiliates, personnel, service providers, and partners from claims, losses, liabilities, penalties, costs, and expenses arising from your service, materials, breach of this agreement, legal non-compliance, user disputes, third-party claims, or misuse of the platform.

    10. Platform Rights

    • We may require verification, supplemental materials, risk explanations, support contacts, refund rules, service-region disclosures, or proof of authorization.
    • We may refuse, limit, suspend, terminate, delist, hide, downgrade, annotate, or remove any partner account, site, ad, link, badge, score, or material.
    • We may preserve records, logs, submitted materials, review notes, risk evidence, and communication history for operation, security, dispute handling, and legal protection.
    • We may cooperate with users, payment providers, service providers, rights holders, regulators, law-enforcement bodies, or professional advisers when reasonably necessary.

    11. Prohibited Conduct

    • False, exaggerated, hidden, incomplete, or misleading advertising claims.
    • Fake detection results, fake traffic, fake reviews, misleading domains, deceptive redirects, unauthorized brand use, or impersonation of official providers.
    • Selling, routing, processing, or promoting services in a way that violates laws, sanctions, export controls, platform rules, upstream terms, privacy obligations, or third-party rights.
    • Harassing users, refusing reasonable complaint handling, concealing refunds or restrictions, abusing Hvoy AI systems, scraping excessively, attacking the platform, or attempting to bypass risk controls.

    12. Disclaimer and Liability Limit

    The partner platform is provided as is and as available. Hvoy AI disclaims all warranties and does not guarantee uninterrupted access, account availability, listing approval, display position, traffic, conversion, commercial return, data accuracy, third-party behavior, or absence of disputes.

    To the maximum extent permitted by law, Hvoy AI is not liable for indirect, incidental, special, punitive, consequential, reputational, business, revenue, profit, data, payment, user, regulatory, or third-party losses. Where liability cannot be excluded, Hvoy AI's aggregate liability is limited to the amount you paid directly to Hvoy AI for the affected partner service in the 30 days before the event, or USD 100 if no paid partner service is involved.
